Terms of Service — AutoHelpKey

The short version: You can use AutoHelpKey for any work you have the right to automate. You're responsible for what your flows do. We're responsible for the app working as advertised. Either of us can walk away. There's no warranty beyond what the law requires.

1. The agreement

These Terms of Service (the "Terms") are a binding agreement between you ("you," "your") and Resonant Labs LLC ("Resonant Labs," "we," "us," "our") governing your use of the AutoHelpKey desktop application, the resonantlab.ai/autohelpkey website, and any related services (collectively, the "Service").

By downloading, installing, or using AutoHelpKey, you confirm that you have read, understood, and agree to be bound by these Terms. If you don't agree, don't install the app.

2. Who can use AutoHelpKey

You must be at least 18 years old and able to enter a binding contract. If you're using AutoHelpKey on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. License grant

Subject to these Terms and your payment of any applicable fees, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use AutoHelpKey on devices you own or control.

Free tier: Use is limited to the features and quotas described on the Pricing page (currently 3 active flows, no Starter Packs). Free tier users may use AutoHelpKey for personal or commercial purposes within those limits.

Paid tiers: A valid, active subscription unlocks the features described on the Pricing page. Each paid seat is for one human user. You may install AutoHelpKey on multiple devices you personally use, but a single license may not be shared across multiple people.

4. What you may not do

Reverse-engineer, decompile, or disassemble the app, except to the extent required by applicable law.
Remove or alter copyright, trademark, or other proprietary notices.
Resell, sublicense, rent, or redistribute the app or any portion of it as your own product.
Use the app to violate any law, infringe anyone's rights, or breach a contract you're bound by (including your employer's acceptable-use policies).
Use the app to send keystrokes, clicks, or commands into systems you don't have permission to operate.
Circumvent license enforcement, generate fraudulent license keys, or share keys publicly.
Use the app to deceive a system into believing automated input was performed by a human, where doing so violates the system's terms or applicable law (e.g. fraud, exam-cheating, click fraud).

5. Your responsibility for what your flows do

Important: AutoHelpKey is a tool that runs the actions you tell it to run. It will dutifully delete files, send emails, click "submit," sign reports, or do anything else you build a flow to do. You are responsible for the consequences.

You are solely responsible for:

Designing flows that do what you intend.
Testing flows before deploying them in critical environments.
Complying with all laws, regulations, professional standards, and workplace policies that apply to your work — including HIPAA, your hospital's IT policy, your employer's automation policy, and applicable medical-practice regulations.
Obtaining any required permission to automate against software you don't own (your EHR vendor, your radiology platform, etc.).
The consequences of any flow you run, including loss of data, miscommunication, missed steps, or any clinical, financial, or operational outcome.

AutoHelpKey is a productivity tool. It is not medical software, a medical device, or a clinical decision-support system. We do not validate or vet the flows you create. The radiology Starter Pack is a set of templates, not approved clinical workflows.

6. Payment, subscriptions, and refunds

Paid tiers are billed in advance, monthly or annually, via Stripe. Your subscription auto-renews until you cancel. You can cancel at any time from the customer portal — cancellation stops future renewals; it does not refund the current term.

Refunds: If you're unhappy within the first 14 days of an initial purchase, email support@resonantlab.ai and we'll refund you, no questions asked. Beyond 14 days, refunds are at our discretion. Annual plans cancelled mid-term are not pro-rated unless required by your local consumer-protection law.

Prices may change. We'll notify active subscribers at least 30 days before any price increase takes effect on their plan.

7. Updates & auto-update

AutoHelpKey includes an auto-updater that downloads and installs new versions cryptographically signed by us. You can disable auto-update in Settings, but we may decline to support outdated versions.

8. Beta features

Features marked "beta," "preview," or "experimental" are provided as-is. They may break, change, or disappear without notice. Don't depend on a beta feature for production work.

9. Termination

You may stop using AutoHelpKey at any time by uninstalling the app and cancelling any active subscription.

We may suspend or terminate your license, without refund, if you materially breach these Terms — most commonly, by using the app to do something illegal, fraudulent, or harmful to others. We will give you reasonable notice and opportunity to cure where the law requires it and the breach is not severe.

Sections that should survive termination (warranties, limits, indemnity, governing law) survive.

10. Intellectual property

AutoHelpKey, resonantlab.ai/autohelpkey, the Resonant Labs name, the AutoHelpKey logo, the Starter Packs, and all related branding are owned by Resonant Labs LLC. You don't get any rights to them beyond the license described above.

Flows you create are yours. We don't claim any ownership over the workflows you build.

11. Feedback

If you send us feedback, suggestions, or ideas, you grant us a perpetual, royalty-free license to use them to improve the product. We're not obligated to use any feedback or to credit you.

12. Disclaimers

To the maximum extent permitted by law, AutoHelpKey is provided "as is" and "as available," without warranty of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the app will be error-free, uninterrupted, or compatible with every version of every third-party application you use it against.

13. Limitation of liability

To the maximum extent permitted by law, neither Resonant Labs nor anyone working with us is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, or business interruption, arising out of or related to your use of AutoHelpKey, even if we've been advised of the possibility.

Our total cumulative liability to you for any claim arising out of these Terms or the Service is capped at the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) USD $100.

Some jurisdictions don't allow these limits. If you're in one of them, the above applies only to the extent permitted.

14. Indemnification

You agree to defend, indemnify, and hold harmless Resonant Labs LLC, its members, officers, and contractors from any claim, loss, or liability (including reasonable attorneys' fees) arising from: (i) your misuse of the Service; (ii) your violation of these Terms; (iii) your violation of any law or third-party right; or (iv) the actions executed by your flows.

15. Governing law & disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. Any dispute arising out of these Terms or the Service will be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction there.

Nothing in this section limits any rights you have under mandatory consumer-protection law in your country of residence.

16. Changes to these Terms

We may revise these Terms over time. The "Last updated" date reflects the current version. We'll email active customers at least 30 days before material changes take effect on their account. Your continued use after the effective date counts as acceptance.

17. Miscellaneous

Entire agreement: These Terms plus the Privacy Policy are the entire agreement between us regarding the Service.
Severability: If a clause is held unenforceable, the rest remains in effect.
No waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment: You can't assign these Terms without our consent. We may assign them in connection with a sale, merger, or reorganization.
